Indemnity Waiver Agreement for Research Compounds

1. Research use only
Purchaser acknowledges that all products sold by Coral Gables Labs (“Company”) are research chemicals intended solely for in-vitro laboratory research. Products are not drugs, dietary supplements, cosmetics, or food; have not been approved by the U.S. Food and Drug Administration; and are not intended for human or veterinary use, consumption, or application of any kind.
2. Purchaser representations
Purchaser represents and warrants that:
- Purchaser is at least 21 years of age;
- Purchaser is purchasing products solely for lawful research purposes;
- Purchaser has the training, knowledge and facilities needed to handle, store and dispose of research chemicals safely; and
- Purchaser will not use, resell, label, or provide any product for human or animal consumption or use.
3. Assumption of risk
Purchaser understands that research chemicals may carry known and unknown risks and voluntarily assumes all risks associated with the purchase, possession, handling, storage, use and disposal of products.
4. Release and waiver
To the fullest extent permitted by law, Purchaser releases and waives any claims against the Company and its owners, officers, employees and agents arising from or related to the purchase, possession, handling, use, or misuse of any product.
5. Indemnification
Purchaser agrees to indemnify, defend and hold harmless the Company and its owners, officers, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from: (a) Purchaser’s breach of this Agreement or the Terms of Service; (b) any use or misuse of products by Purchaser or anyone who obtains products through Purchaser; or (c) Purchaser’s violation of any law or regulation.
6. Compliance with laws
Purchaser is solely responsible for knowing and complying with all federal, state and local laws that apply to the purchase, possession and use of products in Purchaser’s jurisdiction.
7. Order cancellation
The Company may refuse or cancel any order, without liability, if it believes a product may be used in violation of this Agreement.
8. Governing law and severability
This Agreement is governed by the laws of the State of Florida. If any provision is found unenforceable, the remaining provisions remain in full effect.
9. Acceptance
Purchaser accepts this Agreement by checking the acknowledgment box at checkout and sending an order.
